What is BlazeFund?

Blazefund is an Equity Crowdfunding platform. BlazeFund equity crowd funding brings together three groups (1) entrepreneurs with projects and deals, where the entrepreneur either has a signficant stake in the venture or where they are a university professor leading the venture (2) individual crowd investors (accredited investors currently), and (3) institutions such as corporate development departments and nonprofits, via a patent-pending equity crowd funding portal. What is Crowdfunding?

Crowdfunding is basically many individuals contributing small amounts of money collectively thus pooling their money, typically via the Internet, to support efforts initiated by other people or organizations.

For Entrepreneurs:

How do I start a new Equity or Product Offering?

To create an Equity Offering, an entrepreneur must be registered with BlazeFund.
Once you have registered and confirmed your email, we have designed a step by step questionnaire that will take you through the process of filling in the offering details. All offerings must meet BlazeFund’s guidelines and eligibility requirements. We prefer that issuers engage a securities attorney for prepartion of security documents and that they have a broker-dealer associated with their offering so that there is full compliance.

Does BlazeFund review all the Equity Offerings before publishing them on its portal?

Yes. After an equity offering has been submitted, it goes through a due diligence process where we ensure that it meets our guidelines and our criteria. Once we determine that it meets our guidelines and criteria, we then have our subject matter experts review different aspects of the offering. These experts might offer some suggestions to entrepreneurs to modify the offering or request more information.  An offering is either approved or declined, and in some cases we'll reach out with questions asking for clarification before making any decision.

What are some things I should do before submitting my offering?

We suggest that entreprenuers fill out the questionnaire as completely as possible or contact us to request our guidance. If you are a registered accredited investor, you may also choose to review how other offerings on BlazeFund are listed as an example because they would have met the all the eligibility criteria and requirements. 

How does funding work?

Each entrepreneur creates an online Equity Offering which explains their business model/product/service and what they aim to achieve with the investment. The entrepreneur also submits additional supporting documents regarding their plans for the future, financials, milestones etc. Salient features of an equity offering are:

  • Total amount of money an entrepreneur wishes to raise
  • Equity or percentage of ownership offered in return for investments
  • Pricing and type of instrument
  • Milestones
  • Projections

These offerings are subsequently published on the BlazeFund portal platform and open for potential investors. Crowd investors (currently open only for accredited investors) then choose to invest money in the offering during the period (30/45/60/90 days) that the issue is open and available for subscriptions. Securities related  activity is conducted by the broker dealer or issuer directly and BlazeFund merely provides the platform where entrepreneurs and investors can meet and track their issues and raises. 

How long does the Entrepreneur have to raise the Target amount?

An entrepreneur can choose 30/45/60/90 days to raise the target amount during which the offering will be open for investments until the target amount is achieved. After the pre-defined duration, the offering will be closed and will no longer be available for investment. 

What happens once the Target amount is raised?

When the target amount is raised, BlazeFund offers a unique two-step investment mechanism* splitting investment exposure of the crowd to half now and half later, making the full commitment dependent on milestone accomplishment. This is implemented by the broker dealer associated with the issue or the issuer via an escrow account.

What happens if the Target amount is not reached?

Depending on the issue structure, some issues targeted at accredited investors may have no minimum threshold. Typically, once unaccredited investors are also allowed to participate (possible only after the SEC issues guidlelines), if the Target amount is not raised within the specified time period, then the Equity Offering expires and the money is returned to all the investors in full. The entrepreneur does not get access to any of the investment.

Can an Equity Offering be canceled?

Yes. An entrepreneur has the option to cancel an offering. When an offering is canceled, all investments are immediately voided and returned to the investors.

We are a team of Entrepreneurs with a common Equity Offering. Can we all be listed?

Each offering is linked to a single BlazeFund account, but you can list the members of your team in the questionnaire, which will show on your offering page.

Can Equity Offerings raise more money than their goal?

No oversubscriptions are allowed at present.

Is a video required to launch?

Videos are not required to launch, however, offerings with a video succeed at a much higher rate, and communicate the value proposition much more effectively, hence they help to raise more money from investors. We therefore highly recommend that you include one!

An ideal project video would be between 2 and 3 minutes in length.

How do I include images or other media in my project description?

You can upload your images and logo directly from your computer while filling in the entrepreneur questionnaire. We highly recommend having a unique logo for your offering and uploading multiple images for your idea or product/service offering. As always, images speak louder than words.

For Crowd/Investors

How do I review or invest in an Equity Offering?

You must be registered with BlazeFund to either review or commit to investing in an Equity Offering. Once registered, the process is to confirm your email and complete your profile. Once your profile has been completed, BlazeFund provides access to listings.

Those who are registered, logged in, and approved to review offerings, all they need to do is click on the Browse Equity Offerings tab and drill down to the respective detail page of the offering they are interested in. Sub-tabs such as Description, Documents, etc. contain detailed information related to the particular offering and can be reviewed online. To commit to investing in an offering, simply click on the “Invest” button and you will be asked to enter the quantity and proceed to checkout where you will be asked to sign (or confirm that you willl sign) a subscription agreement and wire funds to an escrow account set up by the issuer/broker-dealer. 

When will the money be deducted from my Bank Account or my Credit Card be charged?

At a later stage when unaccredited investors can also participate, the Equity Offering that you have invested in when successfully funded, then only money will be deducted from your bank account and/or your card will be charged after the funding deadline. If the project does not reach its funding goal, money will never be deducted from your account. At this time, we do not have a credit card payment option available. 

Is my investment amount publicly displayed?

No. Only you and the entrepreneur who created the offering will be able to see your investment amount.

Will I be notified if an Equity Offering succeeds and reaches the investment goal amount?

Yes. We will send you an email notification when an offering succeeds or closes, no matter the outcome.

Can I contact the entrepreneur and ask a question?

Definitely. You can use your account’s Inbox and choose the offering you have questions about. This will send your question directly to the entrepreneur.

How can I change my payment method details?

Visit your account page and click “Manage Payment Methods”. You can change an existing method or add a new payment account there. Each new payment method goes through a review process and we recommend not to change it very often. You might lose a great investment opportunity if your payment method is under review.

How can I change my investment amount or can I cancel an investment??

For the time being, you have to notify us via email at to cancel an investment.

What happens when an Equity Offering is overfunded?

We would typically stop the offering and close it early if fully funded. In the event it is oversubscribed, then we would allocate shares to all investors in proportion to their subscription thus giving everyone a chance to participate.
